By accessing or using the Site, creating an account, making a purchase, or otherwise interacting with the Site, you agree to be bound by these Terms and all policies incorporated herein by reference. If you do not agree to these Terms, you should not access or use the Site.

We may update these Terms from time to time. Any revised version will be posted on the Site together with an updated "Last Updated" date. Your continued use of the Site after revised Terms become effective constitutes acceptance of the updated Terms.

Your use of the Site is subject to our Privacy Policy, which is incorporated into and forms part of these Terms. The Privacy Policy explains how we collect, use, disclose, retain, and protect personal information.

We reserve the right to investigate any suspected violation of these Terms and to take any action permitted by law, including restricting or terminating access to the Site.

USE OF MATERIAL ON THE SITE
All content available through the Site, including text, graphics, logos, product information, images, videos, software, interfaces, page designs, artwork, downloads, and other materials (collectively, "Content"), is owned by Timex, its affiliates, licensors, or content providers and is protected by applicable intellectual property laws.

You may access, view, download, and print Content solely for your personal, non-commercial use, provided that you do not remove or alter any copyright, trademark, or proprietary notices.

Except as expressly permitted by these Terms or applicable law, you may not reproduce, distribute, display, publish, perform, modify, create derivative works from, reverse engineer, sell, license, transfer, or otherwise exploit any Content without our prior written consent.

All rights not expressly granted in these Terms are reserved by Timex and its licensors.

ACCEPTABLE USE
You agree to use the Site only for lawful purposes and in accordance with these Terms.

You may not use the Site in any manner that violates applicable law, infringes the rights of Timex or any third party, interferes with the operation or security of the Site, attempts to gain unauthorized access to systems, accounts, data, or networks, transmits malicious code or harmful software, engages in fraudulent activity, collects information from other users without authorization, or otherwise harms Timex, its customers, or other users.

Timex reserves the right to investigate suspected violations of these Terms and to take any action permitted by law, including removing content, suspending accounts, restricting access, cooperating with law enforcement authorities, and pursuing available legal remedies.

TRADEMARKS
TIMEX, INDIGLO, EXPEDITION, IRONMAN, WATERBURY, MARLIN, WEEKENDER, Timex Tales, and other trademarks, service marks, logos, product names, and trade dress appearing on the Site are owned by Timex Group USA, Inc., its affiliates, or their respective owners.

Nothing contained on the Site grants any license or right to use any trademark without prior written permission from the applicable owner.

Unauthorized use of our trademarks or other intellectual property is strictly prohibited.

CUSTOMER ACCOUNTS
Certain portions of the Site may require you to create an account.

You are responsible for maintaining the confidentiality of your username, password, and other account credentials and for all activities occurring under your account.

You agree to provide accurate, complete, and current account information and to update such information when necessary.

If you believe your account has been compromised or used without authorization, you must notify Timex immediately.

Timex reserves the right to suspend, restrict, or terminate accounts where reasonably necessary to protect the security of the Site, prevent fraud, comply with legal obligations, or enforce these Terms.

PRODUCTS, AVAILABILITY, AND WEBSITE INFORMATION
We strive to make product descriptions, specifications, images, pricing, and other information as accurate as possible. Nevertheless, errors, inaccuracies, or omissions may occasionally occur.

Product images are for illustrative purposes only. Actual products may differ from the images displayed on the Site, including with respect to color, packaging, or minor design details.

Product availability is not guaranteed. Timex reserves the right to modify, discontinue, limit, or withdraw products, services, promotions, or content at any time without prior notice.

ORDERS AND CONTRACT FORMATION
The display of products on the Site constitutes an invitation to make an offer and not a binding offer to sell.

When you place an order, you are making an offer to purchase the products identified in the order.

After submitting an order, you may receive an email acknowledging receipt of the order. Such acknowledgment does not constitute acceptance of the order.

A binding contract is formed only when Timex accepts the order by sending a shipment confirmation, dispatch confirmation, or other communication expressly indicating acceptance.

Timex reserves the right to reject or cancel orders for legitimate business reasons, including pricing errors, product unavailability, payment issues, suspected fraud, compliance concerns, or other circumstances preventing fulfillment.

PRICING AND PAYMENT
All prices displayed on the Site are stated in U.S. dollars unless otherwise indicated.

Although we make reasonable efforts to ensure pricing accuracy, errors may occur. If we discover an error affecting your order, we reserve the right to cancel the order and provide a refund or, where appropriate, offer you the opportunity to proceed at the correct price.

Payment must be completed using an approved payment method.

Title and risk of loss for products pass to you upon delivery of the products to the shipping carrier, except where otherwise required by applicable law.

RETURNS AND EXCHANGES
All returns, exchanges, refunds, and warranty claims are subject to Timex's Returns Policy and applicable warranty terms, each of which is incorporated into these Terms by reference.

Please review those policies before making a purchase.

USER SUBMISSIONS
Any comments, suggestions, ideas, photographs, reviews, testimonials, feedback, concepts, creative materials, or other submissions ("User Submissions") that you send, provide, post, transmit, upload, or otherwise make available to Timex are submitted on a non-confidential and non-proprietary basis.

Except to the extent prohibited by applicable law, you hereby assign and transfer to Timex all right, title, and interest in and to all User Submissions, including all intellectual property rights therein, throughout the world and in perpetuity, without further compensation to you.

To the extent ownership of a User Submission cannot legally be assigned to Timex, you grant Timex and its affiliates an exclusive, perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, and sublicensable license to use, reproduce, publish, distribute, display, perform, modify, adapt, create derivative works from, translate, commercialize, and otherwise exploit the User Submission in any manner and in any media now known or later developed.

To the fullest extent permitted by applicable law, you waive and agree not to assert any moral rights, attribution rights, publicity rights, or similar rights in connection with any User Submission.

You represent and warrant that you own or otherwise control all rights necessary to provide the User Submission and that your User Submission does not violate any rights of any third party or any applicable law.

Timex may review, remove, reject, modify, publish, or otherwise use User Submissions in its sole discretion and shall have no obligation to use, maintain, remove, return, review, or compensate you for any User Submission.

TIMEX TALES AND AI-ASSISTED CONTENT
The Timex Tales experience may include stories, illustrations, images, and related content developed with the assistance of artificial intelligence technologies and subsequently reviewed and approved by Timex prior to publication.

Users may be permitted to personalize certain content by selecting themes, characters, products, occasions, interests, or by entering a name. Such personalization is used solely to customize the display of content and does not alter the underlying story content.

No user information entered as part of the Timex Tales experience is used to train artificial intelligence models or to generate personalized story content through artificial intelligence systems.

Users should not enter sensitive personal information into the Timex Tales experience or similar features.

While Timex reviews AI-assisted content, such content may occasionally contain inaccuracies, omissions, or other errors. AI-generated content is provided for entertainment and informational purposes only and should not be relied upon as professional, legal, financial, medical, or other expert advice.

All content made available through Timex Tales, including stories, illustrations, graphics, designs, and related materials, remains the property of Timex, its affiliates, licensors, or content providers and is protected by applicable intellectual property laws.

LINKS TO THIRD-PARTY WEBSITES
The Site may contain links to third-party websites and services.

Timex does not control and is not responsible for the content, accuracy, privacy practices, availability, security, or functionality of third-party websites.

Your interactions with third-party websites are governed by the terms and policies of those websites.

ORDERS, PROHIBITION ON RESELLING, AND PRICE
The information and products displayed on the Site constitute an invitation to make an offer and do not constitute a binding offer by Timex to sell any product or service.

By placing an order through the Site, you are making an offer to purchase the products identified in the order. After submitting an order, you may receive an email acknowledging receipt of the order. Such acknowledgement does not constitute acceptance of the order.

A binding agreement between you and Timex is formed only when Timex sends a shipment confirmation, dispatch confirmation, or other communication expressly indicating acceptance of your order.

Timex reserves the right, in its sole discretion and without prior notice, to refuse, reject, limit quantities, cancel, or terminate any order, whether before or after acceptance, for any lawful reason, including product unavailability, pricing errors, payment issues, suspected fraud, suspected resale activity, compliance concerns, shipping restrictions, or other business considerations.

Products purchased through the Site are intended for personal use. You may not purchase products from the Site for resale or commercial distribution. Timex reserves the right to refuse or cancel any order that we believe, in our sole discretion, is intended for resale or commercial distribution.

All prices shown on the Site are quoted in U.S. Dollars unless otherwise indicated.

Although Timex strives to ensure pricing accuracy, errors, inaccuracies, omissions, or misstatements may occur. Timex reserves the right to correct any such errors at any time and to modify product information, specifications, availability, promotions, or pricing without prior notice.

If a product is listed at an incorrect price or with incorrect information due to a typographical error, system error, supplier information error, or other mistake, Timex shall have the right to refuse or cancel any orders placed for the product, whether or not the order has been confirmed and whether or not your payment method has been charged.

If payment has already been processed for an order that is subsequently cancelled, Timex will issue a refund to the original method of payment in the amount charged.

Title and risk of loss for products purchased through the Site pass to you upon delivery of the products to the shipping carrier, except where otherwise required by applicable law.

Timex reserves the right to limit quantities purchased per person, household, account, order, payment method, or address, and to refuse any order that appears to be placed by dealers, resellers, distributors, or other commercial purchasers.

SMS MESSAGING
By enrolling in or otherwise consenting to Timex's SMS text messaging program (the "SMS Service"), you agree to receive recurring automated marketing and transactional text messages from and on behalf of Timex at the mobile telephone number you provide. Messages may be sent using an automatic telephone dialing system or other technology.

Message frequency may vary and may include promotional offers, marketing campaigns, product announcements, cart reminders, order information, account notifications, customer service communications, and other information related to Timex products, services, and promotions.

Your consent to receive text messages is not required as a condition of purchasing any goods or services from Timex.

Timex does not charge for the SMS Service. However, message and data rates may apply. Charges are billed by and payable to your mobile carrier. You are solely responsible for all charges imposed by your wireless carrier in connection with your participation in the SMS Service.

You may opt out of the SMS Service at any time by replying STOP to any text message received from Timex. After submitting a valid opt-out request, you will receive a confirmation message and no further marketing messages will be sent unless you subsequently re-enroll. You understand that any opt-out request must be submitted from the mobile number enrolled in the SMS Service.

For assistance regarding the SMS Service, reply HELP to any text message received from Timex, contact Customer Service at custserv@timex.com, or call 1-888-727-2931.

You agree to provide a valid mobile telephone number for participation in the SMS Service. If your mobile number changes, you agree that you are responsible for updating your account information or re-enrolling using your new number.

Timex may modify, discontinue, temporarily suspend, or terminate the SMS Service at any time and without liability. Timex may also change any short code, sender identification, or telephone number used to operate the SMS Service. We will provide notice of material changes as required by applicable law.

Wireless carriers are not liable for delayed or undelivered messages. Timex does not guarantee the availability or performance of the SMS Service and shall not be responsible for delayed, misdirected, incomplete, interrupted, or failed delivery of text messages.

To the maximum extent permitted by applicable law, Timex shall not be liable for any losses, damages, injuries, claims, liabilities, costs, or expenses arising from or related to participation in the SMS Service, including any failures in message transmission or delivery.

Any information collected in connection with the SMS Service will be handled in accordance with Timex's Privacy Policy.

By participating in the SMS Service, you represent and warrant that you are the authorized user of the mobile telephone number provided and that you are authorized to incur any charges associated with receiving text messages at that number.

WEBSITE AVAILABILITY
Timex seeks to provide reliable access to the Site but does not guarantee that the Site or any portion thereof will be available at all times or operate without interruption.

The Site may occasionally be unavailable because of maintenance, updates, technical issues, network outages, cyber incidents, or circumstances beyond our control.

Timex reserves the right to modify, suspend, discontinue, or restrict access to all or part of the Site at any time.

CHILDREN
The Site is not directed to children under the age of 13.

If you are under the age of 13, you should not provide personal information through the Site without the involvement and consent of a parent or legal guardian.

Parents and guardians are responsible for supervising a child's use of the Site and any family-oriented experiences, including Timex Tales.

THE SITE, ITS CONTENT, AND ALL PRODUCTS AND SERVICES MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TIMEX AND TIMEX GROUP DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, AND UNINTERRUPTED OPERATION.

TIMEX DOES NOT REPRESENT OR WARRANT THAT THE SITE WILL BE SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

NO INFORMATION OR ADVICE PROVIDED BY TIMEX SHALL CREATE ANY WARRANTY NOT EXPRESSLY SET FORTH IN THESE TERMS.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN SUCH JURISDICTIONS, SOME OF THE FOREGOING DISCLAIMERS MAY NOT APPLY.

LIMITATION OF LIABILITY
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

NOTHING IN THESE TERMS EXCLUDES LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, PERSONAL INJURY, DEATH CAUSED BY NEGLIGENCE, OR ANY OTHER LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIMEX, TIMEX GROUP, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ECONOMIC DAMAGES ARISING FROM OR RELATING TO THE SITE, ITS CONTENT, OR YOUR USE OF OR INABILITY TO USE THE SITE.

YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SITE IS TO STOP USING THE SITE.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIABILITY LIMITATIONS. IN SUCH JURISDICTIONS, SOME OF THE FOREGOING LIMITATIONS MAY NOT APPLY.

CONSUMER RIGHTS
Nothing in these Terms limits, excludes, or restricts any rights or remedies that consumers may have under applicable law.

Consumers may have legal rights that vary by state and that cannot be waived or limited by contract.

INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Timex, Timex Group, and their respective officers, directors, employees, agents, licensors, suppliers, service providers, and representatives from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your violation of these Terms, your misuse of the Site, your User Submissions, or your violation of any law or third-party rights.

Timex reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such event, you agree to cooperate fully in the defense of such matter.

FORCE MAJEURE
Timex shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, acts of government, labor disputes, cyber incidents, telecommunications failures, utility outages, pandemics, transportation interruptions, supply-chain disruptions, or similar events.

TERMINATION
Timex may suspend, restrict, or terminate your access to the Site at any time where reasonably necessary to protect the Site, enforce these Terms, prevent fraud, comply with legal obligations, or protect Timex, its customers, or third parties.

GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to conflict-of-law principles.

The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

BINDING ARBITRATION AND CLASS ACTION WAIVER
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except for disputes that qualify for small claims court and claims relating to intellectual property rights, you and Timex agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, any purchase made through the Site, or any relationship between you and Timex shall be resolved exclusively through final and binding arbitration and not in court.

The arbitration shall be administered by the American Arbitration Association ("AAA") pursuant to its Consumer Arbitration Rules then in effect.

The arbitration shall be conducted before a single arbitrator.

YOU AND TIMEX EACH WAIVE THE RIGHT TO A JURY TRIAL.

YOU AND TIMEX EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING.

All arbitration proceedings shall be conducted solely on an individual basis.

If any portion of this class action waiver is found unenforceable, that portion shall be severed and any class claims shall proceed in a court of competent jurisdiction while all remaining claims remain subject to arbitration.

Nothing in this section prevents either party from seeking temporary or preliminary injunctive relief from a court of competent jurisdiction to protect intellectual property rights or confidential information.

This arbitration provision shall survive termination of these Terms.

CHANGES TO THESE TERMS
Timex may revise these Terms from time to time by posting updated Terms on the Site.

Your continued use of the Site following the effective date of revised Terms constitutes acceptance of those revisions.

ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, Returns Policy, Warranty Policy, SMS Terms, and any other policies expressly incorporated by reference, constitute the entire agreement between you and Timex regarding your use of the Site and supersede all prior understandings and agreements relating to the Site.

SALES AND USE TAX NOTIFICATION
Timex collects sales tax on shipments to customers located in certain states. Your purchase is not exempt merely because the purchase is made over the internet, by catalog, or by other means for which you did not pay sales tax. Your state may require you to report any purchase that was not taxed by Timex and pay use tax on the purchase. Depending on your state’s filing requirements, the tax may be reported and paid on your state individual income tax return or by filing a consumer use tax return. Additional information on sales and use tax reporting and payment requirements can be found on the Department of Revenue website for your state.  By providing your email address to Timex at the tie of order placement, you agree to receive any use tax notifications as required by Timex by various states at the time of your order.

SEVERABILITY
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, the remaining provisions shall remain in full force and effect.
